Terms of Service
Ostatnia aktualizacja: 06.11.2026 · Ten dokument jest udostępniony w języku angielskim.
These Terms of Service govern the use of this website and the ordering of services from RS-CODE Sp. z o.o. (“RS-CODE”, “we”). They also constitute the terms and conditions (regulamin) within the meaning of the Polish Act on Providing Services by Electronic Means of 18 July 2002.
1. Provider
RS-CODE Sp. z o.o., ul. Długa 46/13, 47-400 Racibórz, Poland; KRS 0001133891, NIP (VAT ID: PL6392034036), REGON 529967793; e-mail office@rs-code.com; phone +48 571 268 881.
2. Scope
Our services — software development, consulting, architecture, maintenance and the fixed-scope service packages presented on this website — are offered exclusively to businesses (B2B). By sending an enquiry or order you confirm that you act in the course of your business or professional activity.
3. Use of the website
The website may be used free of charge with a current web browser. It is prohibited to submit unlawful content, to disrupt the operation of the website or to attempt unauthorised access to our systems.
4. Offers and conclusion of contract
Information on this website, including package prices, is not a binding offer but an invitation to submit an enquiry. A contract is concluded only when we confirm an order in writing or by e-mail, or when both parties sign an individual agreement. Individual agreements take precedence over these Terms.
5. Prices and payment
All prices are stated in EUR net and exclude VAT. For clients in other EU member states the reverse-charge mechanism applies where the legal requirements are met. Invoices are payable within 14 days by bank transfer to our business bank account. We do not accept cash payments or payments from third parties not party to the contract.
6. Performance
We provide services with professional care according to the agreed scope. Delivery times stated for packages begin after receipt of all necessary information, access rights and, where agreed, advance payment. The client shall cooperate in good faith and provide required materials in time.
7. Acceptance
Deliverables are deemed accepted if the client does not report material defects in writing within 10 business days of delivery. Reported defects within the agreed scope are corrected free of charge.
8. Intellectual property
Upon full payment, the client acquires the economic copyrights (or an exclusive licence where transfer is not possible) to the deliverables created specifically for the client, in all fields of exploitation necessary for their intended use. Pre-existing tools, libraries and know-how of RS-CODE remain our property; the client receives a non-exclusive licence to use them as part of the deliverables. Open-source components remain subject to their respective licences.
9. Confidentiality
Both parties keep confidential all non-public information received from the other party. On request we sign a separate non-disclosure agreement (NDA) and a data processing agreement under Art. 28 GDPR.
10. Liability
Our liability for damages is limited to intentional misconduct and gross negligence and, in any case, to the net remuneration paid under the respective order, except where the law does not permit such limitation. We are not liable for lost profits or indirect damages.
11. Complaints
Complaints regarding the website or services may be sent to office@rs-code.com. We respond within 14 days.
12. Governing law and jurisdiction
Polish law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the court competent for our registered office, unless otherwise agreed in an individual contract.
13. Final provisions
Should any provision be invalid, the remaining provisions remain unaffected. We may amend these Terms for important reasons; amendments do not affect orders already confirmed.
